Terms of Supply
Operator
endopep is a trading name of AB.G.PERSSON LTD, a private limited company registered in England and Wales under company number 16308961 ("endopep", "we", "us"). These Terms of Supply govern all supply of products through endopep.com.
Acceptance
By creating an account, browsing the catalogue or placing an order through endopep.com, you accept these Terms of Supply and the Research-Use Policy, Acceptable Use Policy and Privacy Policy referenced in them. If you do not accept any of these documents, you must not use the service.
Products
endopep supplies analytical-grade synthetic peptides as reference standards for in-vitro laboratory research. The substances are not medicinal products, are not authorised for human or veterinary use, and are not supplied for therapeutic, prophylactic, diagnostic, cosmetic, food or personal use. endopep makes no therapeutic claim regarding any substance in the catalogue.
Buyer eligibility
Supply is restricted to qualified research personnel acting on behalf of a verified professional research institution established in an eligible European Union member state. Eligibility is assessed at account registration against the criteria set out in the Research-Use Policy. endopep reserves the right to refuse, suspend or terminate any account that does not meet or ceases to meet these criteria, in its absolute discretion and without liability.
Intended use
Buyer represents and warrants on each order that the substance will be used exclusively for in-vitro research in a controlled laboratory environment, under the supervision of a qualified principal investigator, in compliance with all applicable laws of the buyer's jurisdiction, and in compliance with the Acceptable Use Policy. Buyer will not administer the substance to any human or animal by any route, will not prepare any formulation from it intended for human or veterinary administration, and will not resell, re-export or transfer the substance for any prohibited use.
Pricing and payment
All prices are displayed in EUR, exclusive of any VAT or import duties for which the buyer is responsible under the tax rules of its member state. Orders are settled by one of two rails at the buyer's election. (a) On-chain: an ERC-20 transfer of USDC or USDT on Ethereum mainnet to the recipient address shown at checkout, in an amount equal to the EUR order total converted at the live rate locked at quote time and held for five minutes. The order is released for dispatch on finality of the transfer on the Ethereum network. (b) SEPA or SWIFT bank transfer to the beneficiary account notified on the order confirmation; goods are dispatched on receipt of cleared funds; the payment reference on the order confirmation must be quoted on the transfer to enable reconciliation. endopep reserves the right to revise pricing at any time; any price change will not affect orders already placed and confirmed.
Order acceptance and right to refuse
An order is an offer by the buyer to acquire a substance on these Terms. Acceptance occurs only when endopep issues a written order confirmation. endopep reserves the right to refuse, cancel or delay any order for any reason, including failure of eligibility verification, suspicion of breach of these Terms or the Acceptable Use Policy, regulatory or payment-processor concern, risk-screening flag, or any reason permitted by applicable law. No liability arises from any such refusal.
Shipping
Shipping is to institutional addresses within the European Union member states listed in the Research-Use Policy. endopep does not ship to residential addresses or to countries outside the allow-list. Risk of loss passes on delivery to the carrier; title passes on receipt by the buyer.
Returns
Unopened, undamaged shipments may be returned within 14 days of delivery in accordance with the Returns Policy. Substances whose primary packaging has been unsealed cannot be accepted for return due to the nature of reference-standard reagents.
Documentation
A Safety Data Sheet compiled under REACH Annex II is available for each substance and is retained in accordance with REACH Article 36.
Limitation of liability
To the maximum extent permitted by applicable law, endopep's aggregate liability under or in connection with the supply of any substance shall not exceed the sum paid by the buyer for that substance. endopep is not liable for any loss arising from any use of any substance outside its intended in-vitro research use or in breach of the Acceptable Use Policy. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable mandatory law.
Indemnity
Buyer shall indemnify and hold endopep harmless from and against any and all claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising from or in connection with any breach of these Terms by the buyer or any use of any substance by the buyer, its employees, agents or representatives outside the Intended Use or in breach of the Acceptable Use Policy.
Governing law and forum
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Each party submits to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with these Terms, subject to any mandatory provisions of the buyer's member state of establishment that cannot be contractually overridden.
Survival
The clauses on Intended Use, Limitation of liability, Indemnity and Governing law survive termination of any order or account.
